1. Call to Order: Karen Roth, Chairman, called the Board Meeting to order at 3:36 pm.
2. Roll Call:
   1. Martha Frenchek conducted a Roll Call.
   2. Present: Karen Roth, Michael Jefferis, Henry Schubert, Michael Delk, Lynne Faimalie, Jeffrey Gellermann, Brian Lowack, Chris Moore (Zoom), Angela Pietras (Zoom), and Cheryl Morales. A quorum was represented.
   3. Absent: Lorie Tonti
   4. Guest: Jacob Laurendeau from Barton, Gonzalez & Myers, CPA’s
3. Minutes from the March 29, 2023, Board Meeting were accepted as presented (Lowack/Jefferis).
4. Monthly Financial Committee Report
   1. Level Four Management Report: March, 2023
   2. PDR Account Financial Statement: March 2023
   3. Becky Cummings and Todd Bulot, PPLC’s Financial Investment Advisors from Level 4, attended the committee meeting. There was some discussion on the ESG (Environmental, Social, Governance) criteria. Morales Thanked Lowack for forwarding House Bill 3 pertaining to the ESG Legislation.

6. Executive Director’s Report – Cheryl Morales

      1. Building/grounds – no news.
      2. 2 staff vacancies (TBL & IT Manager).

7. Old Business:
   1. Policy Review – Retirement and Education
      1. Retirement: Changes made to the 403 (b) contribution plan:
         1. Employer contributions shall begin on the first day of the month after 30 daysof employment.
         2. Employee contributions are available to the employee with no timerestrictions.
         3. Vesting period applies:
            1. 20% @ 1 year
            2. 40% @ 2 years
            3. 60% @ 3 years
            4. 80% @ 4 years
            5. 100% @ 5 years
         4. Policy effective 5.1.23 applies only to employees hired after the effective date.
         5. Edited policy was unanimously approved (Schubert/Jefferis).
      2. Education: Tabled until June meeting.
8. New Business:
   1. Review of Audited Financial Statements – Barton, Gonzalez & Myers, CPA’s Presentation of FY ’22 Audited Financial Statements by Jacob Laurendeau.
      1. Reviewed annual audit standards that are required to communicate with the Board.
      2. No new accounting changes predicted.
      3. No difficulties performing the audit, no disagreements with the monthly financialstatements (PDR).
9. LDAC Report
   1. Minutes of LDAC Meeting, March 13, 2023
   2. Morales reviewed the following:
      1. Bayscan Drivers License Scanner – register new patrons.
      2. BIBFRAME – new cataloging system.
